1. Studio Engagement & Service Scope
Intermaven Agency provides high-end brand strategy, interactive web design, software architecture, and AI-assisted automation engineering. Client engagements are executed pursuant to individual Statements of Work (SOW) or active monthly retainers.
- Milestones & Deliverables: Timelines specified in an SOW commence upon receipt of initial deposit and required brand/technical assets.
- Scope Modifications: Feature additions outside signed specifications require a formal Change Order detailing credit adjustments or cost revisions.
2. Intellectual Property Rights & Asset Assignment
Upon final settlement of all invoiced fees, Intermaven assigns to the client all custom final design assets, brandmarks, and custom source code written specifically for the client's project.
Intermaven retains all right, title, and interest in underlying studio frameworks, pre-existing reusable modules, AI pipeline node configurations, and proprietary software engines (including intermaven.io infrastructure).
3. Payment Terms, Retainers, & Credit Systems
Consultation bookings and retainer milestones operate under the following payment structures:
- Project Deposits: Standard engagements require a 50% initial deposit prior to sprint commencement, with balance due upon final staging sign-off.
- Intermaven Network Credits: Self-serve credits purchased across the Intermaven SaaS suite are non-refundable and expire 12 months from issuance date.
- Late Payments: Overdue invoices accrue interest at 1.5% per month or the maximum rate permitted by law.
4. Warranties & Limitation of Liability
Services are provided using industry-best development and security practices. Except as expressly warranted in a signed SOW, deliverables are provided "as is" without implied warranties of fitness for a specific commercial outcome.
In no event shall Intermaven Agency's aggregate liability exceed the total amounts actually paid by the client under the applicable SOW in the three (3) months preceding the claim.
5. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising hereunder shall be submitted to binding arbitration prior to court litigation.
